Terms of Service

These terms govern your use of SimplyChat ("the service"). By creating an account or installing the widget on a website, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to do so.
The service
SimplyChat provides a chat widget you embed on your own website and a dashboard where you answer the conversations it produces. We may add, change or remove features over time.
Your account
- You are responsible for everything done under your account and for keeping your password and any embed snippet you publish under your control.
- Provide accurate signup details, and keep your email address current — it is how we reach you.
- One person or organisation per account; do not share credentials with people you would not want reading your conversations.
Your responsibilities for visitor data
When you install the widget, you decide what is collected from your visitors and why. You are the controller of that data and SimplyChat is your processor. That means you are responsible for:
- Having your own privacy notice that tells your visitors what the chat widget collects — our Privacy Policy sets out exactly what that is.
- Having a lawful basis for collecting it, and obtaining any consent your jurisdiction requires.
- Passing on your visitors' data requests, and handling the ones that reach you.
- Not using the widget to collect payment card numbers, health records, government ID numbers, or other sensitive categories of data through chat.
Acceptable use
You may not use the service to:
- Send unlawful, harassing, deceptive, or infringing content, or unsolicited bulk messages.
- Install the widget on a site you do not control, or on a site whose purpose is unlawful.
- Impersonate another person or business to a visitor.
- Probe, scrape, overload or attempt to bypass access controls of the service — including using another account's identifiers, or driving automated traffic through our endpoints.
- Resell or expose the service as your own product without a written agreement with us.
We may suspend or terminate an account that breaches these rules, and will act immediately where a breach threatens the service or other customers.
Availability
The service is provided as-is. We do not offer a guaranteed uptime level, and the service may be unavailable for maintenance, third-party outages, or reasons outside our control. Chat is not a substitute for an emergency contact channel.
Fees
Where a plan carries a fee, the price and billing period shown at the time you subscribe apply. Fees are payable in advance and are not refundable for a period already started unless the law requires otherwise. We will give notice before a price change takes effect for your account.
Your content
You keep all rights in the conversations, files and settings you and your visitors put into the service. You grant us only the permission needed to host, transmit, back up and display that content in order to operate the service for you.
Ending the agreement
You can stop using the service at any time by removing the widget snippet and deleting your sites. Deleting a site permanently erases its visitors, conversations, messages and offline messages, and the widget snippet for that site stops working. Export anything you want to keep before you delete it — we cannot recover it afterwards.
Disclaimer and liability
To the fullest extent the law allows, the service is provided without warranties of any kind, express or implied. We are not liable for indirect, incidental or consequential loss, or for lost profits, revenue, goodwill or data. Where liability cannot be excluded, our total liability for any claim is limited to the fees you paid us for the service in the three months before the event giving rise to the claim. Nothing here limits liability that cannot lawfully be limited.
Changes to these terms
We may update these terms; the date at the top of this page shows when they last changed. If a change is material we will make reasonable efforts to notify account holders. Continuing to use the service after a change means you accept the updated terms.
Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, and the courts of British Columbia have exclusive jurisdiction over any dispute.
